General conditions of use of the website

These General Conditions regulate the use of the Internet Website “www.investvlc.com” and www.investinvlc.com” (the “Website”) that the Official Chamber of Commerce, Industry and Navigation of Valencia (hereinafter referred to as “Cámara Valencia”) makes available to you as a user (the “User”). The use of the Website implies the full acceptance by the User of all the General Conditions of Use of the Website in force at the time the User accesses the Website, so if the User does not agree with any of the conditions set forth herein, he/she should not use this Website. Cámara Valencia reserves the right to modify at any time these General Conditions of Use of the Website as well as any other general or particular conditions, regulations of use, instructions or notices that may be applicable. Likewise, Cámara Valencia reserves the right to suspend, interrupt or stop operating the Website at any time.

1.Purpose of the Website

Through the Website, Cámara Valencia provides the Users with access to various contents, information and data (the “Contents”) made available to the Users by Cámara Valencia or by third party providers of services and contents. Cámara Valencia reserves the right to modify at any time the presentation (including the “look-and-feel”), configuration and location of the Website, as well as the Contents and the conditions required to use them. Within the aforementioned Contents there is an area of restricted access to Users who have previously registered (the “Registered Users”), whose access and use is subject to the conditions set forth in section 3 of this document.

2.Conditions of access and use of the Website

2.1 Access and use of the Website.

The User acknowledges and accepts that access to and use of the Website and/or the Contents included therein takes place freely and consciously, under his/her sole responsibility. Access to the Website and/or the Contents included therein does not imply any kind of guarantee regarding the suitability of the Website and/or the Contents included therein for particular or specific purposes of the Users. Cámara Valencia may establish additional limitations and/or conditions for the use and/or access to the Website and/or the Contents, which must be observed by the Users in any case.

2.2. Authorized Use of the Web Site and Content.

The User undertakes to make appropriate and lawful use of the Website and the Contents, in accordance with the applicable legislation, these General Conditions of Use of the Website, generally accepted morals and good customs and public order. The User shall refrain from (i) making unauthorized or fraudulent use of the Website and/or the Contents; (ii) accessing or attempting to access resources or restricted areas of the Website, without complying with the conditions required for such access; (iii) use the Website and/or the Contents for purposes or effects that are illicit, illegal, contrary to the provisions of these General Conditions, to good faith and public order, harmful to the rights and interests of third parties, or that may in any way damage, render useless or overload the Website or prevent the normal use or enjoyment of the Website; (iv) cause damage to the physical or logical systems of Cámara Valencia, its suppliers or third parties; (v) introduce or spread in the network computer viruses or any other physical or logical systems that are likely to cause damage to the physical or logical systems of Cámara Valencia, its suppliers or third parties, (vi) attempt to access, use and/or manipulate the data of Cámara Valencia, third party suppliers and other users; (vii) reproduce or copy, distribute, allow access to the public through any form of public communication, transform or modify the Contents, unless you have the authorization of the owner of the corresponding rights or it is legally permitted; (viii) delete, hide or manipulate the notes on intellectual or industrial property rights and other data identifying the rights of Cámara Valencia or third parties included in the Contents, as well as the technical protection devices or any information mechanisms that may be inserted in the Contents; (ix) obtain and attempt to obtain the Contents using means or procedures other than those that, as the case may be, have been made available for this purpose or have been expressly indicated on the web pages where the Contents are located or, in general, those that are usually used on the Internet because they do not entail a risk of damage or disablement of the Website and/or the Contents.

2.3. Introduction of Links.

Those Users who wish to establish a hyperlink, link or link between their website and the Website (the “Link”) must comply with the following obligations: (i) the Link will only allow access to the Website, but may not reproduce it in any way; (ii) no frame or border environment will be created over the Website; (iii) no false, inaccurate or incorrect statements or indications will be made about the Website; (iv) it will not be stated or implied that Camara Valencia has supervised or assumed in any way the contents or services offered or advertised on the website where the Link is established; (v) the website in which the Link is established will not contain any trademark, commercial name, business sign, denomination, logo, slogan or other distinctive signs belonging to Cámara Valencia and/or to third parties, without its authorization; (vi) the website in which the Link is established will not contain information or contents that are illicit, contrary to morality and generally accepted good customs and public order, or contrary to any rights of third parties. The establishment of the link does not imply in any case the existence of any relationship between Cámara Valencia and the owner and/or operator of the website where the link is established, nor the knowledge, acceptance and/or approval by Cámara Valencia of its contents and/or services. Under no circumstances shall Cámara Valencia be liable for the consequences that may arise from the introduction of links by third parties, nor for the contents, information and/or services offered on the websites where the link has been established.

3.Restricted access area

In order to access and use the restricted access area, Users must first register by filling in a form (the “Registration Form”) that appears in each case on the Website. Cámara Valencia reserves the right to freely accept or reject the registration request of any User. The data entered by the Users in the Registration Form must be accurate, current and truthful at all times, and will be processed by Cámara Valencia in the manner indicated in the personal data protection policy. Once the Registration Form is received, Cámara Valencia will assign an exclusive personal password for each Registered User. From that moment on, the Registered User will be able to access the restricted access area and use the Contents in the manner provided in these General Conditions of Use of the Website.

The Registered Users will be responsible at all times for the custody of their password, assuming in consequence any damages and prejudices that could derive from their undue use, as well as from the cession, revelation or loss of the same one. To these effects, the access to restricted areas and/or the use of the Contents realized under the key of a Registered User will be considered realized by the above mentioned Registered User, who will answer in any case of the above mentioned access and use. The Registered Users will be able to modify at any time their exclusive password through the website of Cámara Valencia. In case of forgetting the password or any other circumstance that entails a risk of access and/or use by unauthorized third parties, the Registered Users must immediately inform Cámara Valencia so that the latter may immediately proceed to block and replace the password.

4.Industrial and intellectual property rights

The User acknowledges and accepts that all industrial and intellectual property rights over the Contents and/or any other elements inserted in the Website (including without limitation, trademarks, logos, trade names, texts, images, graphics, designs, sounds, databases, software, flow charts, presentation, “look-and-feel”, audio and video), belong to Cámara Valencia and/or third parties. In no case does access to the Website imply any kind of waiver, transmission, license or total or partial transfer of such rights, unless otherwise expressly stated. These General Conditions of Use of the Website do not grant Users any other right of use, alteration, exploitation, reproduction, distribution or public communication of the Website and/or its Contents other than those expressly provided herein. Any other use or exploitation of any rights will be subject to the prior and express authorization specifically granted for that purpose by Cámara Valencia or the third party owner of the rights affected.

Cámara Valencia authorizes the Users to use, visualize, print, download and store the free Contents and/or the elements inserted in the Website; provided that in any case the origin and/or author of the same is indicated and that, if applicable, the copyright symbol and/or industrial property notes of their owners appear. The use of such elements, their reproduction, communication and/or distribution for commercial or lucrative purposes, as well as their modification, alteration or decompilation is strictly prohibited. For any use other than those expressly permitted, it will be necessary to obtain the prior written consent of the holder of the rights in question.

5.Use of cookie technology

The User acknowledges and accepts that Cámara Valencia may use cookies when a User browses the Website. The User may configure his/her browser to notify and reject the installation of cookies sent by Cámara Valencia, without this affecting the User’s ability to access the Contents that do not require identification.

6.Disclaimer of warranties and liability

6.1. Exclusion of warranties and liability for the operation of the Website.

Cámara Valencia does not guarantee the availability and continuity of the functioning of the Website or of those other websites with which a link has been established. Likewise, under no circumstances will Cámara Valencia be liable for any damages that may arise from (i) the lack of availability or accessibility of the Website or those other sites with which a Link has been established; (ii) the interruption in the operation of the Website or computer failures, telephone breakdowns, disconnections, delays or blockages caused by deficiencies or overloads in the telephone lines, in the Internet system or in other electronic systems produced in the course of its operation; (iii) the lack of suitability of the Website for the specific needs of the Users and (iv) other damages that may be caused by third parties through unauthorized interference beyond the control of Cámara Valencia.

In order to reduce the risk of viruses being introduced into the Website, Cámara Valencia uses virus detection programs to control all the Contents that it introduces into the Website. However, Cámara Valencia does not guarantee the absence of viruses or other elements in the Website introduced by third parties external to Cámara Valencia that may cause alterations in the physical or logical systems of the Users or in the electronic documents and files stored in their systems. Consequently, under no circumstances will Cámara Valencia be liable for any damages of any kind that may arise from the presence of viruses or other elements that may cause alterations in the physical or logical systems, electronic documents or files of the Users.

Cámara Valencia adopts various protective measures to protect the Website and the Contents against computer attacks by third parties. However, Cámara Valencia does not guarantee that unauthorized third parties cannot have access to the type of use of the Website made by the User or the conditions, characteristics and circumstances in which such use is made. Consequently, under no circumstances will Cámara Valencia be liable for any damages that may arise from such unauthorized access.

6.2 Exclusion of guarantees and liability for the use of the Website.

Cámara Valencia will not be liable in any case for the use that Users and/or third parties may make of the Website or the Contents, nor for any damages that may arise from it.

6.3 Exclusion of guarantees and responsibility for the Contents.

Cámara Valencia does not edit the Contents of third parties published on the Website and consequently does not guarantee and is not responsible for the legality, reliability, usefulness, truthfulness, accuracy, completeness and timeliness of such Content. Cámara Valencia will in no event be liable for any damages that may arise from (i) the lack of legality, reliability, usefulness, truthfulness, accuracy, completeness, and/or timeliness of the Contents originated by third parties; (ii) the unsuitability for any purpose and the disappointment of the expectations generated by the Contents; (iii) decisions or actions taken or avoided by the User relying on the information or data provided or provided in the Contents, including without limitation the loss of profits or business opportunities.

6.4 Exclusion of warranties and liability in connection with the Links.

The Website makes available to Users technical linking devices, directories and search tools that allow Users to access pages and/or websites belonging to and/or managed by third parties. Cámara Valencia checks the content of such pages at the time it establishes a link to them and does so in the good faith belief that such content complies with the applicable legislation. However, under no circumstances does Cámara Valencia accept responsibility, approve or endorse the products, services, contents, information, data, files and any kind of material existing in such web pages and does not control or accept responsibility, approve or endorse the successive modifications of such materials. In the event that it deems it appropriate or is required to do so by judicial or administrative order, Cámara Valencia will remove the links to those web pages that infringe the applicable legislation and/or infringe the rights of third parties.

7.Actions in case of non-compliance

Cámara Valencia reserves the right to exercise whatever actions are available at law to demand the responsibilities derived from the breach of any of the provisions of these General Conditions of Use of the Website by a User.

8.Partial nullity

The declaration of any of these general conditions as null, invalid or ineffective shall not affect the validity or effectiveness of the remaining conditions, which shall continue to be binding between the parties. The waiver by any of the parties to demand at any given time the fulfillment of any of the general conditions stipulated herein shall not imply a general waiver of the fulfillment of any other condition or conditions, nor shall it create an acquired right for the other party.

9 Applicable Law and Jurisdiction

The provision of the Website service and these General Conditions of Use of the Website are governed by Spanish law. To the extent permitted by law, the parties, expressly waiving any other jurisdiction to which they may be entitled, agree to submit to arbitration proceedings, in accordance with the Rules of the Court of Arbitration of Valencia established in the Chamber of Commerce, Industry and Navigation of Valencia.

Quality of the information

Cámara Valencia will make every effort to avoid errors and, if necessary, repair or update them as soon as possible, but cannot guarantee that they do not exist or that the content of the information is permanently updated.

Cámara Valencia may make, at any time and without prior notice, modifications and updates to the information contained in its website or in its configuration or presentation.
